Terms of Service of Invoiler

Please read these Terms of Service carefully before using Invoiler. These terms govern your access and use of our invoicing and business document tools.

1. Acceptance of Terms

By accessing or using Invoiler (operated by Qcial Labs), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access or use our services.

These terms apply to all visitors, users, and others who access Invoiler.
We reserve the right to modify or replace these terms at any time at our sole discretion.
Continued use of Invoiler following any modifications constitutes acceptance of the new terms.

2. Permitted Use & Service Scope

Invoiler provides free, browser-based document generation tools, including invoices, receipts, quotes, estimates, credit notes, purchase orders, sales orders, proforma invoices, timesheets, work orders, account statements, and packing slips.

You agree to use these tools only to generate documents for legitimate business, freelance, or personal transactions that you have the right to create.
You are solely responsible for the accuracy, legality, and completeness of any figures, tax rates, client details, or terms you enter into a generated document.
You may not use our tools to create fraudulent, deceptive, or falsified financial documents, including fake invoices or receipts intended to mislead a third party.
Automated scraping, excessive query flooding, or attempts to disrupt or reverse-engineer our infrastructure are strictly prohibited.
We reserve the right to rate-limit or block IP addresses or accounts that abuse or attempt to compromise our infrastructure.

3. User Accounts & Fair Usage

Most tools on Invoiler are accessible without registration. Where account registration is offered (e.g. to save templates or document history), you are responsible for maintaining your credentials.

You are responsible for safeguarding any credentials used to access your account and for all activity that occurs under it.
You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Fair usage limits may apply to document generation, storage, or exports to ensure reliable service availability for all users.
We are not a party to any transaction, invoice, or agreement between you and your clients or suppliers — we merely provide the tool used to generate the document.

4. Intellectual Property Rights

The service, original content, features, templates, code, and design of Invoiler are owned by Qcial Labs and are protected by applicable intellectual property laws.

Trademarks, brand assets, and branding elements of Invoiler and Qcial Labs may not be used without prior written approval.
You retain full ownership of the business data, client details, and financial content you enter to generate a document.
You are granted a limited, non-exclusive, non-transferable license to use our templates and generated documents (PDF or otherwise) for personal or internal business purposes, including sending them to your own clients or suppliers.
You may not resell, redistribute, or repackage our templates or tools as your own standalone product.

5. Disclaimer of Warranties

Invoiler is provided on an 'AS IS' and 'AS AVAILABLE' basis without warranties of any kind, whether express or implied.

Our tools are designed to help format and calculate common business documents; they do not constitute accounting, tax, or legal advice.
We do not guarantee that generated documents comply with the specific invoicing, tax, or record-keeping regulations of your jurisdiction.
You are responsible for verifying that tax rates, numbering sequences, mandatory disclosures, and formatting meet the legal requirements applicable to your business and location.
We do not guarantee 100% accuracy, uninterrupted availability, or error-free operation of any generator, calculator, or export tool.

6. Limitation of Liability

In no event shall Qcial Labs, its directors, employees, or partners be liable for indirect, incidental, special, consequential, or punitive damages.

We are not liable for financial loss, disputes with clients or suppliers, tax penalties, downtime, lost data, or reputational harm arising from your use of generated documents.
We are not liable for errors resulting from incorrect data entered by you, including miscalculated totals, taxes, or due dates based on inaccurate input.
Our total liability for any claim arising out of your use of the service shall not exceed the amount paid by you, if any, for using the service in the preceding twelve months.

7. Governing Law & Contact

These terms shall be governed and construed in accordance with applicable laws without regard to conflict of law provisions.
